End-user licence agreement
This is the structure of the agreement a customer accepts when installing IQ Tools. The bracketed items are for counsel; the headings are what a buyer's IT and legal teams will look for.

1. Licence grant
[Non-exclusive, non-transferable licence to install and use the software with Autodesk Revit, for the licensee's internal business purposes, for the number of seats purchased and the term paid for.]
2. Seats & trial
[Named seats: one seat = one named user on one machine; reassignment permitted through the account; concurrent use prohibited. Trial: 14 days, full function, becomes read-only at expiry, may be used once per organisation.]
3. Restrictions
[No reverse engineering except as permitted by law; no circumvention of licence checks; no resale, rental or service-bureau use; no removal of notices.]
4. Your models and your data
The licensee retains all rights in its Revit models and in the data IQ Tools reads from them. IQ Tools writes to a model only what the user approves in a Sync Review. [The licensee is responsible for reviewing each batch before approval and for maintaining backups; the licensor does not access, receive or store model data — cross-reference the Privacy policy.]
5. Warranty & liability
[Limited warranty that the software performs materially as documented for N days; exclusive remedy is repair, replacement or refund. Exclusion of implied warranties to the extent permitted. Liability cap at fees paid in the preceding 12 months. Exclusion of consequential loss, including loss arising from edits approved by the user. Counsel to confirm interaction with the NZ Consumer Guarantees Act and Fair Trading Act for business customers, and with the Autodesk App Store publisher terms.]
6. Term & termination
[Subscription term monthly or annual; auto-renewal and cancellation; effect of expiry (software degrades to read-only and staged edits may still be committed or exported); termination for breach; survival.]
7. Governing law
[New Zealand law; courts of New Zealand; or arbitration clause if preferred for international customers.]
